Harris Consultancy – Terms and Conditions

1. Overview
These Terms and Conditions (“Terms”) govern all hosting, website, and support services provided by Harris Consultancy (“we”, “us”, “our”) to you, the client (“you”, “your”).
By accepting a quotation, subscribing, or making payment, you agree to these Terms in full.
2. Our Services
We provide website hosting, support, and related digital services as outlined in your quotation.
All services are delivered with reasonable care and skill.
We may make updates or changes to comply with law, technology, or best practice.
Third-Party Hosting: We use reputable external hosting providers. While we manage these on your behalf, we are not responsible for outages or issues outside our direct control.
Backups: Backups are carried out by our hosting provider as a best-effort service. Harris Consultancy accepts no liability for data loss or failed recovery, as backup frequency and reliability depend on third-party systems and technical factors beyond our direct control.
3. Your Responsibilities
Provide all information, materials, and access needed for us to deliver services.
Ensure your content is lawful and does not infringe copyright, data protection, or other rights.
Maintain secure passwords and access credentials, using strong passwords and two-factor authentication where available.
Respond promptly to communications; delays may extend timelines or incur additional costs.
4. Fees and Payment
Fees are shown in your quotation or renewal notice.
Our service fees automatically adjust annually in line with the UK Retail Price Index (RPI) to reflect inflation. This ensures we can continue maintaining quality and supplier costs. You will receive at least 30 days’ written notice of the new rate before renewal.
Invoices are payable within 7 days unless agreed otherwise.
Late payments may result in suspension of services and interest at 5% above the Bank of England base rate.
All payments must be made in British Pounds (GBP).
5. Renewals and Cancellations
Hosting and subscription services renew automatically (monthly or annually, depending on your plan).
To cancel, you must give at least 30 days’ written notice before the renewal date.
Renewal fees are charged at the rate in effect at the time of renewal.
6. Refund Policy
Payments are non-refundable once services are activated or renewed.
If you cancel mid-term, services remain active until the end of the paid period; no partial refunds apply.
7. Intellectual Property
All intellectual property and design rights remain with Harris Consultancy until full payment is received.
Upon full payment, ownership of your website design and content transfers to you.
We may display non-confidential work in our portfolio or marketing materials.
8. Third-Party Tools and Integrations
Some features depend on third-party plugins, software, or APIs.
We cannot guarantee their ongoing functionality or compatibility.
Any licence, renewal, or subscription costs for such tools are your responsibility.
9. Client Content
You are solely responsible for all website content, including text, images, and data.
We do not monitor or moderate your content and are not liable for any legal issues arising from it.
10. Acceptable Use
Hosting services must not be used for illegal, harmful, or offensive purposes, including the distribution of spam, malware, or adult or extremist content.
We reserve the right to suspend or remove any site that breaches this clause.
11. Service Suspension
We may temporarily suspend services (including website or email access) if needed to protect server integrity, investigate misuse, or comply with legal or security requirements.
Services resume once the issue is resolved.
12. Data Protection
You are the Data Controller, and we are the Data Processor under UK GDPR.
We process personal data only as required to deliver the services.
We will not sell or share personal data with third parties.
We apply appropriate security measures to protect your data.
We are not liable for breaches or data loss resulting from insecure passwords, client systems, or third-party failures.

13. Liability and Indemnity
Our total liability to you shall not exceed the lesser of £500 or the total fees paid in the 12 months prior to the claim.
We are not liable for:
Loss of data, profits, revenue, or goodwill
Business interruption or loss of opportunity
Downtime or corruption caused by third-party services
Delays or failures beyond our reasonable control
You agree to indemnify and hold us harmless from any claims, damages, or costs (including legal fees) resulting from your content, misuse, or breach of these Terms.
Nothing in these Terms limits liability for death, personal injury, or fraud.
14. Performance Disclaimer
We strive to deliver high-quality work but do not guarantee specific business outcomes such as sales, traffic, search-engine rankings, or financial results.
15. Support
We aim to respond to support requests within 24–48 business hours.
Complex or development tasks may take longer depending on the request.
16. Domain Names and Migration
Domain names registered through us remain your property once all fees are paid.
We will assist with migration to another provider on request, subject to any outstanding payments and a reasonable transfer fee if applicable.
17. Data Retention
We may retain backups or related data for up to 30 days after cancellation, after which they may be deleted permanently.
18. Confidentiality
We treat all non-public information you share with us as confidential and will not disclose it without your permission, except as required by law.
19. Termination
Either party may terminate this agreement with 30 days’ written notice.
We may terminate immediately if payment is overdue, you materially breach these Terms, or become insolvent.
Prepaid fees are non-refundable unless agreed otherwise.
